This agreement is a legal agreement between you and MageNet. It governs your use of the services. By accessing MageNet.com website and using any of the Services, you are indicating that you have read and agree to these Terms of Use. Please read the Terms of Use carefully before proceeding to use our services.

You also agree that you have read and understood the Acceptable Use Policy of PayPal. Your continued use of MageNet services confirms that you do not perform or willing to perform any prohibited activities listed there.

This Agreement contains conditions of use, disclaimers, and other provisions, some of which limit our liability to you. If you do not agree to these Terms of Use, you may not use any of the Services, and you may not accept this Agreement if you are not at least 18 years of age and, in any event, of legal age to form a binding contract with MageNet.

Note: Company reserves the right to change Terms of Use without notice or liability to Customer by posting revised Terms of Use on the website. Using the website, you accept revised Terms of Use, so please check this page from time to time.

By continuing to use the site you agree that you have read, understood and will oblige to the Terms of Use, Privacy Policies, and Acceptable Use Policies of MageNet and PayPal.

You may not use our service for any unlawful purposes or in furtherance of illegal activities. By using MageNet, you agree to comply with all applicable laws governing your online conduct and content. You are independently responsible for complying with all applicable laws in all of your actions related to your use of MageNet services, regardless of the purpose of the use.

 1. Services Description

 MageNet provides an array of services for online collaboration and management including but not limited to:

  1. Ads sales for the advertisers
  2. Payment processes maintenance
  3. Technical and partner support during all agreed period
  4. Partner’s sites promotion and marketing strategy development and implementation
  5. Websites and content management

MageNet may change, add to, or delete the Services we offer, in whole or in part, for any reason at any time in our sole discretion.

Sites’ owners stand as our independent partners. “Partner” is defined as a MageNet customer that is paid for any kind of services provided by MageNet. By using MageNet service, you agree to become our partner.

2. Membership Restrictions

 You acknowledge that this site may contain information, communications, software, photos, text, video, graphics, music, sounds, images and other material and services (collectively “Content”), which is generally provided by MageNet or by licensors of MageNet. You agree and acknowledge that, notwithstanding that MageNet permits access to the Content, the Content is protected by copyrights, trademarks and other proprietary (including intellectual property) rights (collectively “Rights”), that these Rights are valid and protected in all media now existing or later developed, and that except as specifically provided in these Terms, your use of the Content shall be governed and constrained by applicable copyright, trademark and other intellectual property laws.

You shall not license, sell, rent, lease, transfer, assign, reproduce, distribute, host or otherwise commercially exploit the MageNet Content or any portion of it, including the Website.

Any unauthorized use of MageNet Properties terminates the licenses granted by MageNet pursuant to the Terms. 

3. Member Account, Password and Security

 As part of the Services we provide, you may be able to register for an account (“Account”) and to access the Services through your Account by means of an Internet connection or a wireless network (neither of which MageNet provides). You agree to provide true, accurate, current and complete information about yourself as prompted by our registration processes. You shall not impersonate any person or entity or misrepresent your identity, including using another person’s username, password or other account information. You are responsible for all hardware, software, service and other costs you incur to access your Account. You are solely responsible for providing your own Internet or wireless access, any telecommunication charges or other charges which you incur through access and use of the Services. Accounts are available only to individual, natural persons who are adults.

You shall not share your Account with anyone or allow anyone else other than you personally to access or use your Account. Selling or renting access to another person to your Account for the purpose of allowing them access to the Services is prohibited. You are responsible and liable for all activities conducted through your Account, regardless of who conducts those activities.

Upon registration for an Account, you must create a password (“Password”). You shall not disclose your Password to any third party or allow anyone to use your Password to access the Services or your Account. You are responsible for maintaining the confidentiality of your Password and for any damage or harm (for example, lost or deleted Account Attributes, closed Accounts, etc.) resulting from your disclosure or allowing the disclosure of your Password or from use by any person of your Password to gain access to your Account. In no event shall MageNet be held responsible for any damage that occurs to your Account or the attributes of your Account. MageNet shall not be liable for any financial or emotional damage or distress you may suffer (and/or subsequent loss or damage to your Account or Account Attributes) as a result of the disclosure of your Password to a third party. It is also prohibited to obtain, attempt to obtain, use, or attempt to use anyone else’s password.

If you violate the above provisions, MageNet may terminate your membership at any time without prior notice to you.

 4. Partner Listings – Content and Obligations

 Please follow these guidelines if you don’t want your account suspended or deleted. Violating these guidelines can result in being banned from MageNet system. The cancellation of your account would be the last resort if the issues that arise were not resolved by MageNet. You (“Partner”) must adhere to these terms of use and policies at all times:

 

  1. When publishing Ads, Partners agree to follow the existing placement rules (“Rules”) and understand that the payment won’t be paid if rules have been violated.
  2. Partner ensures the websites consist of working pages.
  3. Partner ensures websites do not contain illegal information, harmful or hateful materials. The Partner website activation is granted only by MageNet approval.
  4. Partner ensures that websites do not violate any law, statute, ordinance or regulation.
  5. Partner ensures that websites do not violate copyrights.
  6. Partner ensures that websites do not conform to the public moral and ethical standards.
  7. Partner ensures that websites do not fall under forbidden website categories:
    • sites that violate any law, statute, ordinance or regulation with their activities.
    • sites that relate to actions involving (a) narcotics, steroids, certain controlled substances or other products that present a risk to consumer safety, (b) drug paraphernalia, (c) pharmaceutical goods, including, but not limited to dietary supplements, drugs, herbs, vitamins, sports nutrition, etc., (d) alcohol, cigarettes, tobacco, etc., (e) items that encourage, promote, facilitate or instruct others to engage in illegal activity, (f) stolen goods including digital and virtual goods, (g) the promotion of hate, violence, racial or other forms of intolerance that is discriminatory or the financial exploitation of a crime, (h) items that are considered obscene, (i) items that infringe or violate any copyright, trademark, right of publicity or privacy or any other proprietary right under the laws of any jurisdiction, (j) hacking, warez, cheat codes, unlicensed software, (k) adult and certain sexually oriented materials or services, (l) ammunition, firearms, or certain firearm parts or accessories, or (m) certain weapons or knives regulated under applicable law, (n) dating, (o) gambling, (p) sports betting, (q) social media activity sales (such as sales of Twitter followers, Facebook likes or Youtube views), (r) any kind of spam services.
    • sites that relate to actions that (a) show the personal information of third parties in violation of applicable law, (b) support pyramid or ponzi schemes, matrix programs, other “get rich quick” schemes or certain multi-level marketing programs, (c) are associated with purchases of annuities or lottery contracts, lay-away systems, off-shore banking or transactions to finance or refinance debts funded by a credit card, (d) involve Forex trading, binary options, (e) are forums or announcement marketplaces, (f) are for the sale of certain items before the seller has control or possession of the item, (g) are by payment processors to collect payments on behalf of merchants, (h) are associated with the sale of traveler’s checks or money orders, (i) involve currency exchanges or check cashing businesses, (j) involve sale of fakes, (k) involve occult and magical services, (l) are medical websites without valid licenses (m) involve certain credit repair, debt settlement services, credit transactions or insurance activities, or (n) involve offering or receiving payments for the purpose of bribery or corruption.
    • sites that involve the sales of products or services identified by government agencies to have a high likelihood of being fraudulent.
  8. Partner has to provide a valid accurate and correct email and other account information. The invalid email and false information can cause account termination and loss of the funds.
  9. The information on the web page must correspond to the applied category.
  10. Publishing Ads, Partner must publish exactly the same HTML code that MageNet has sent.
  11. Partner must not require users to install software to view their site.
  12. Partner must not require users to pay or/and login to view the site’s content.
  13. Domains can be submitted only once. Please do not submit individual pages with the same domain.
  14. Website submissions have to be complete, correct and accurate. Use correct spelling and grammar. Violations can cause the rejection of websites.
  15. All the communication between Advertisers and Partner will be conducted through MageNet messaging system. Partner agrees not to contact Advertisers directly.
  16. Partner guarantees to publish Ads in the site place that will be selected and paid by MageNet.
  17. Any ads that were removed by a Partner without proper cancellation process will be considered as invalid.
  18. It is not allowed to publish any information from MageNet website on any other source without the written consent of by MageNet. MageNet has the policy to terminate in appropriate circumstances the accounts of subscribers who are repeat infringers.
  19. MageNet reserves the right to change these guidelines without notice at any time. Partners are responsible for the enforcement of these rules. MageNet is not responsible for suspension or termination and loss of funds if Partner has violated any of these guidelines.

 5. Breach and Termination of Services

Either party may terminate the Services at any time by notifying the other party by any means. MageNet has the right to refuse to provide the Services and/or terminate the account in the following cases:

  1. You violate any of the parts of this Terms of Use
  2. MageNet is unable to verify your account or to authenticate provided information
  3. Any of your websites contain illegal information and violate the human rights
  4. MageNet finds your actions suspicious; it finds that you are cheating MageNet system 
  5. You make direct contacts with Advertisers, share with them any financial information, etc.

 6. Payment terms

 a) Outgoing payments

MageNet provides payment to partners for Ads placed on Partners’ sites. Payments are made on the 30th day from the ad placement date if the ad was present on the page all that time. All payments will come from the Ads for as long as needed.

If it happens that the ad has been deleted from your site, our system fixes the ad absence for more than 5 days on your website, then the payment for that particular Ad will be stopped. If the ad has been recovered during those 5 days, we consider the deal as prolonged and continue to transfer funds to the Partner’s personal account.

All Partners are paid through the PayPal. To get the payment you need to send the withdrawal request via Balance page under your account.  The best date to request your payment is at the end of the current month until the 25th day, and expect to receive it until the 5th day of the next month.

Control the payment inflow not later than 14 days after withdrawal request. We can not resolve the queries for payment confirmation sent after 90 days.

We do not handle requests for any payments made more than 90 days after the date of the transaction.  If you do not report an issue with your payment to MageNet support within 90 days after the payment is made, you agree that all payments have been made correctly.

MageNet provides you with the option of changing your PayPal account to which you want to receive payments. You’ll need to confirm the change with your password.

If at any time you want to discontinue any of our services, or need to solve any other payment issue, you can contact us.


b) Incoming payments

MageNet accepts the payments for the services offered by means of PayPal Express Checkout/Reference Transactions Agreement and PayPal Subscription.

If payments are made by PayPal Express Checkout/Reference Transactions Agreement, you acknowledge and agree that they (payments) will be billed and charged automatically. The Partner understands that the charged amount of money may vary and depends on prices of the services that are provided to the Partner. By providing the Company with your credit card number or PayPal account and associated payment information, Partner agrees that MageNet is authorized to immediately invoice your Account for all fees and charges due and payable to MageNet hereunder and that no additional notice or consent is required.

The Partner understands and agrees that MageNet may charge the amount of money from the provided PayPal account at any time. The payment could be charged by confirming the order by means of phone, Skype or email.

You must notify MageNet immediately (no later than 14 days after the date of unauthorized transaction) if you suspect or believe that occurred transaction was not authorized or there was charged incorrect amount. If you initially provide information to us via the telephone, we may require that you send your complaint or question in writing. You will be asked and are required to provide us with the following information: your name; the email address registered for MageNet account; a description (including dollar amount) of the transaction that you believe is unauthorized or in error; and explanation to why you believe there was unauthorized transaction or error. If we decide that there was no error, we will send you an explanation. You may ask for copies of the documents that we used in our investigation.

The Partner can cancel PayPal Express Checkout payments at any time by the following ways:

  1. Canceling PayPal Express Checkout payments on “Balance” page: http://cp.magenet.com/balance
  2. Canceling payments on PayPal account
  3. Asking MageNet manager to cancel PayPal Express Checkout payments

All the payment transaction details can be found on the page http://cp.magenet.com/balance. If necessary, the MageNet support will be happy to assist and provide you with necessary information.

For a variety of reasons, payment on MageNet may fail. In such cases, MageNet will offer you alternatives to ensure your Service can go ahead. If you have any questions, please contact us.

We may change the price of any Service at any time. Any increase in charges will not apply until the expiry of your current billing cycle. You will not be charged for using any Service unless you have opted for a paid Service.

7. Refund Policy

MageNet strives to provide a Service you will love, and we believe you will. However, we realize the Service you receive from MageNet may not be exactly what you expected. If this occurs, MageNet may provide a full refund of the Services purchased in the original transaction.

Partner may request the refund of partial or 100% funds by order submitted via Our Services under the following conditions:

  1. Due to a technical issue caused the service delivery failure.
  2. Due to a Partner cancellation request within 3 business days from the time you order.

The refund request is processed within 3 business days since its acceptance. Once your return is received and inspected, we will send you an email to notify you that we have received your request. We will also notify you of the approval or rejection of your refund.

If you are approved, then your refund will be processed, and a credit will automatically be applied to the original method of payment (PayPal account or card) used for ordering and the same type of currency and amount of currency that was used to make the purchase. 

8. Internet Abuse

You are prohibited from engaging in any form of Internet abuse, including but not limited to: (a) distributing, publishing, or sending any kind of unsolicited or unwelcome email to any number of network users (commonly referred to as “junk mail” or “spam”), including, without limitation, mass promotions, unauthorized or unsolicited commercial advertising, and informational announcements, anywhere on the Internet; (b) posting a single article or substantially similar articles to an excessive number of newsgroups or mailing lists; (c) repeated or deliberate posting of articles that are off-topic according to the charter of the newsgroup or mail list where such articles are posted; (d) posting commercial advertising in a conference or newsgroup, unless it is specifically permitted to be posted within that group; or (e) violating the CAN-SPAM Act.

9. Intellectual Property and Proprietary Rights

 You acknowledge that the ownership of any intellectual property rights pertaining directly to MageNet or any of its third party partners (which includes patents, copyrights, rights in databases, trademarks and trade names) shall remain the Property of MageNet and its third party members. This agreement shall “in no way” affect any Intellectual Property rights, Copyrights, Trademarks, Trade Names or Databases that you own and have control over as the website owner/Webmaster of your site. MageNet also ascertains that your personal information will not be disclosed to any third party without your permission. Therefore, any part of this Site (or its source HTML code) may not be used, transferred, copied or reproduced in whole or in part in any manner other than for the purposes of utilizing this Site, meaning that you may only display it on a computer screen and print it out on a printer for the sole purpose of viewing its content in connection with the Services.

Copyright and all other intellectual property rights subsisting in each and every piece of information provided on the Site is owned by MageNet or the third party providers of such information. The information retrieved from the Site can be used only inside of the Terms of Use for the Services purposes.

 10. Confidentiality

 The Partner goes along not to disclose Company Confidential Information without Company’s prior written agreement. “Company Confidential Information” includes without limitation all Company software, technology, programming, technical specifications, materials, guidelines and documentation Partner learns, develops or obtains relating to the Services or the Site, and any other information marked as “confidential” or any designation to the same effect. “Company Confidential Information” does not include information that has become publicly known through no breach by Partner or Company, or such information as:

  • independently developed without access to Company Confidential Information as evidenced in writing;
  • rightfully received by Partner from a third party;
  • required to be disclosed by law or by a governmental authority.

 11. Privacy and Security

 This Policy applies to all of the products, services and websites offered by MageNet or its subsidiaries or affiliated companies (collectively, MageNet’s “services”).

  1. Your details will be held in the strictest confidence.
  2. Your information will not be passed to any third party.
  3. We will not send any unsolicited emails.

MageNet does not sell, rent or trade user information to other companies. Our site may link to advertisers and sites that collect personally identifiable information about you when you access them from MageNet. This type of collection or use of personal information is beyond MageNet control and is not covered by this Privacy Policy.

 12. Other Terms and Conditions

 In case if any party does not implement in any respect any right provided for herein will not be considered as a waiver of any further rights hereunder. MageNet will not be liable for any failure to perform its obligations hereunder if such failure is resulted from any cause beyond MageNet’s reasonable control. If any provision of this Agreement is found unenforceable or invalid, such provision will be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in effect and enforceable. Take into consideration that this Agreement is not assignable, transferable or sublicensable by Partner except with MageNet’s prior written consent. Both parties acknowledge that this Agreement is the complete and exclusive statement of the mutual understanding of the parties, supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of this. All modifications must be expressed in a writing form by both parties, except provided herein. No agency, partnership, joint venture, or employment can be created as a result of this Agreement. The partner does not have any authority of any kind to bind MageNet in any respect whatsoever.

13. Earning Increase Disclaimer

WE DO OUR BEST TO MAKE OUR SERVICE EFFECTIVE AND FAVORABLE. BUT THERE IS NO GUARANTEE THAT YOU WILL DEFIANTLY INCREASE YOUR EARNINGS MONETIZING YOUR WEBSITE ON OUR PLATFORM. EXAMPLES IN THESE MATERIALS ARE NOT TO BE INTERPRETED AS A PROMISE OR GUARANTEE. YOUR SUCCEED DEPEND ON YOU, YOUR KNOWLEDGE, VARIOUS SKILLS AND THE TIME YOU DEVOTE ON IT. WE ARE NOT RESPONSIBLE FOR YOUR FAILURE.
